1. Introduction
Welcome to Noblelesse ("Noblelesse", "we", "our", "us"). We operate a technology platform and mobile applications that allow users to access fractional real estate investment opportunities (the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree, do not use the Platform.
These Terms incorporate by reference our Privacy Policy, Cookie Notice, Key Risks, Fees & Costs, and any Offering Documents for individual properties (collectively, the "Platform Policies"). In case of conflict, Offering Documents govern the relevant investment; otherwise, these Terms apply.
2. Definitions
- Account: Your registered user account on the Platform.
- Offering / Property / Deal: An investment opportunity listed on the Platform.
- SPV: A special purpose vehicle that holds title to the underlying property.
- PSP / Escrow Provider: Our authorized payment service providers and settlement partners.
- Business Day: Sunday to Thursday, excluding Qatar public holidays.
- Offering Documents: The term sheet, risk summary, share subscription, property pack, fee table, and any deal-specific documents.
3. Nature of the Service (Marketplace Role)
3.1 Marketplace Only
Noblelesse provides technology and operational workflows to help users discover and subscribe to fractional interests in properties via an SPV or similar structure. We are not a real estate broker/agent, investment advisor, portfolio manager, bank, or deposit-taking institution.
3.2 No Advisory
Any information on the Platform is for information only and does not constitute financial, investment, tax, or legal advice. You are solely responsible for your investment decisions (see Section 10).
3.3 Third-Party Providers
Payments, KYC/AML checks, custody/escrow, conveyancing, valuation, property management and similar services may be performed by third parties. Contracts for these services may be between you (or the SPV) and the relevant third party.
4. Payment Processing, Custody & Money Flows
4.1 PSP / Escrow
Client funds are processed by authorized Payment Service Providers / Escrow Providers and, where applicable, held in segregated client accounts for the relevant transaction. Noblelesse is not a bank and does not accept deposits.
4.2 Funding & Allocation
When you fund an Offering, your payment is earmarked for that Offering. If the minimum raise or closing conditions are not met, funds may be returned per the Offering Documents (net of third-party charges, if any).
4.3 Refunds/Chargebacks
Chargebacks or rejected payments may be net of bank/PSP fees, FX costs, and handling charges. We may suspend an Account pending resolution.
4.4 FX & Conversion
If you pay in a non-settlement currency, you authorize our PSP to convert funds at the rate and fees they apply. FX gains/losses are your responsibility.
4.5 Payouts
Rental distributions or capital events (if any) are paid to your registered payout method or wallet as described in the Offering Documents, net of applicable costs, taxes and withholdings.
5. Eligibility, Account & Security
5.1 Eligibility
You must be at least 18 years old and have legal capacity to contract. You confirm you are not a sanctioned individual/entity and not resident in a restricted jurisdiction.
5.2 KYC/AML
You authorize us and our providers to conduct identity verification, KYC/AML/CTF checks, sanctions/PEP screening, and ongoing monitoring. We may request documents such as passport/ID, proof of address, and bank statements.
5.3 Account Security
You are responsible for your credentials and all activity on your Account. Keep your password secure and notify us immediately of any suspected unauthorized access.
5.4 Our Rights
We may refuse, suspend, freeze, or close any Account and/or transaction (with or without notice) if required by law or if we suspect fraud, misuse, breach of these Terms, sanctions exposure, or other risk.
